    Easiest and self-serve, no partner needed. Azure + OpenAI credits. Do this one first.

  • Apply: Google for Startups Cloudup to $350k

    Lead with the AI assistant to aim for the AI-startup tier. Gemini + Maps credits included.

  • Apply: AWS Activateup to $100k

    Founders tier is self-serve; the bigger portfolio tier needs an accelerator (Five One Labs / Flat6Labs).

  • Apply: Five One Labs (Erbil / Sulaymaniyah)

    The leading KRI incubator: programs, grants, investor network. Your #1 local door and a route to the AWS portfolio tier.

  • Apply: KAPITA + Iraqi Angel Investors Network

    Ecosystem programs plus the organised angel network inside Iraq, your warm route to first local cheques.

  • Enter: MENA + global competitions

    Flat6Labs (MENA accelerator), Hult Prize ($1M), MIT Enterprise Forum Pan Arab. Non-dilutive prizes plus credibility.

  • File: Canadian non-dilutive (via Kavalsia Inc.)

Set up the structure

months 1-2

The documents you must not skip. Do this before the first international cheque, flipping later is expensive. Get a startup lawyer here.

  • Engage a startup / securities lawyer

    They review everything before any signature or wire. Confirm Kavalsia's jurisdiction (Ontario vs federal) while you are at it.

  • Incorporate the holding company

    Delaware C-Corp (Stripe Atlas or Clerky) or UAE ADGM/DIFC, owning "Kurdify KRI". Certificate of incorporation + bylaws.

  • Sign the founder IP assignment

    CRITICAL: all Kurdify IP moves from founder/Kavalsia into the holdco. Included in the Clerky / Stripe Atlas package.

  • Founder stock + vesting + 83(b) election

    4-year vesting, 1-year cliff. The 83(b) election has a hard 30-day deadline from incorporation, do not miss it.

  • Open the cap table (living record)

    Carta or Pulley. Today: founder 100%, no prior investment. Every future SAFE lands here.

Run the SAFE round

months 2-3

$500k target on a YC Post-Money SAFE at a $6.5M cap. Never collect into a personal account. Bundle small cheques through an SPV.

  • Finalise deck, data room, and the story

    Export the deck to PDF, assemble the data room, and open every conversation with the positioning narrative in order.

  • Hand interested investors the term sheet

    One-page deal summary: instrument, cap, minimum cheque, no board seats, rolling close.

  • Issue the Post-Money SAFE ($6.5M cap)

    Use the official YC document (lawyer-reviewed) for signing; the filled reference shows the exact terms. Add a Pro Rata Side Letter for cheques of $50k+.

  • Bundle small cheques into one SPV

    If 5+ small angels commit, pool them into one clean cap-table line through a licensed platform, never your own account.

  • Run outreach like a pipeline

    Warm intros first (Five One Labs, KAPITA, diaspora). Track the deck with DocSend; use the outreach templates.

Optional community round

months 3-4

Turn diaspora Kurds into owners, great for the mission and for marketing. Always through a regulated platform, never your own bank account.

  • Open an equity crowdfunding round

    Republic is the best fit for a global diaspora audience; Wefunder (US), Seedrs / Crowdcube (UK/EU).

Seed round

months 5+

Once revenue is live: a priced round with a MENA or Canadian VC at a higher valuation and less dilution.

  • Approach seed VCs

    500 Global, Wamda, BECO, Global Ventures, Shorooq (MENA); Canadian marketplace funds too. All want the holdco in place.

  • Use the NVCA priced-round set

    Term sheet, stock purchase agreement, investor rights, voting, ROFR, all lawyer-led.

  • Always: send monthly investor updates

    The highest-ROI habit. Transparency from day one compounds into your next round.

Binding guardrails: no deposit schemes and no private "fund" pooling (SPVs via licensed platforms only); traction claims real and dated; government/family connections for clean access only, never steering public money; a lawyer reviews everything before signature or wire.
